| Hi all and note to Adambelow (for Adam’s response), | |||||||||||||||
| Please note that the Trustees will be taking action today and the Trust Agreement requires that each Trustee is given the opportunity to vote on a decision or take action (Section 4.7). Further, decisions or actions of the Trustees taken at any meeting shall be determined by majority vote of the Trustees present at the meeting, provided that a quorum is present. A quorum requires that 4 Trustees be present with at least 50 percent of those present are District-appointed Trustees. | |||||||||||||||
| This is all to say, (1) we need a quorum today to take action that effectuates the District’s and the Association’s direction to terminate the Trust, and (2) confirmation from Adam that he was given the opportunity to vote on this action. | |||||||||||||||
| Adam, can you please confirm by replying to all that by notice of the October 23, 2019 meeting provided by Kellee on October 18, 2019, that you were provided with the opportunity to vote on actions to be taken at the October 23, 2019 meeting? Note that the meeting has been on the Trustees yearly calendar for some months now, which means that Kellee’s email from October 18, 2019 is not the first notification of the October 23, 2019 meeting. |
