    I lost track of time over the weekend... at the airport heading out of town. I am accessible by  email or phone if need be. 

    My only comments are any resolutions we have had were mentioned in the minutes but not attached or embedded in the minutes only signed and I have the originals with the agreements and contracts. 

    I did notice within the resolution 501c was listed the second time as 519c. Not sure if 519c exists or not? 

    Otherwise everything else look just fine to me.

    What we can do is read the resolutions and then insert them in the minutes after they are adopted.   The Trustees will have hard copies (and you’ll have the Word document) so it should be pretty straight-forward.

    I do not recall a time when the Trustees have used a resolution. I believe the standard practice is to note actions in the meeting minutes. I will defer to Darla though as she has historical knowledge from before I became the Trust recorder.

    The updated Trust termination checklist is attached.   It is addressed to the Board of Trustees and to Darla and should be provided to the Trustees with their October 23, 2019 meeting materials. 

      

    Note that we have included as an attachment a Proposed Minute Excerpt/Resolution that can be used for purposes of effectuating termination of the Trust and authorizing the wind-down activities.   I am unclear if the Trustees have used stand-alone resolutions in the past or included them in the minutes.   Let me know if there is a preference (or historical precedent) for either minutes or the resolution and I can revised the proposed Minute Excerpt/Resolution for that purpose.
