A Resolution of the Board of Directors (the "Board") of the Everett
School District No.2 (the "District") to (i) execute a Quit Claim Deed,
(ii) complete a boundary line adjustment, and (iii) terminate celiain
easement agreements, in connection with conveying all of the District's
right, title, and interest in the propeliy known as the Everett
Conununity College.
